Terms of Service

These terms govern your access to and use of cy‑paid (the "service"). By creating an account or otherwise using the service, you agree to be bound by them. If you do not accept these terms, you must not use the service.

1. The service

cy‑paid enables you to create, manage, track and export invoices and related records. The service is provided free of charge. There is no paid tier and no subscription. We reserve the right to modify, suspend or discontinue any feature, or the service in its entirety. Where the service is to be discontinued, we will give reasonable advance notice and a period in which to export your data.

2. Eligibility and accounts

You must be of an age at which you can lawfully enter into a binding contract in your jurisdiction. You are responsible for maintaining control of the email address associated with your account, as possession of that address permits a sign-in link to be requested. API keys must be treated as confidential credentials. You are responsible for all activity conducted under your account.

A guest account, started without an email address, is reachable only from the browser session that created it, and is deleted thirty days after it is created unless you add an email address or a Google identity to it.

3. Your content

You retain all rights in the content you submit to the service, including invoices, client records and uploaded files. You grant cy‑paid a limited, non-exclusive licence to host, store, reproduce and display that content solely as required to operate the service and to generate the documents you request. Your content will not be used to train machine learning models, and will not be disclosed other than to the processors identified in the Privacy Policy.

4. Your responsibilities

The service produces documents from information you supply. It does not verify that information. You are solely responsible for:

  • The accuracy and completeness of every invoice issued, including amounts, tax rates, dates, payment details and client particulars.
  • Compliance with all tax obligations applicable to you, including the determination of applicable rates, registration, filing and payment.
  • Your contractual relationships with your clients. cy‑paid is not a party to any agreement between you and a client, and takes no part in the collection of sums owed to you.
  • The delivery of invoices. Documents are downloaded and sent by you; the service does not transmit invoices to your clients and cannot confirm their receipt.

5. Exchange rates

Currency conversion rates are obtained from a third-party source and are provided for indicative purposes only. They do not represent the rate available from any financial institution and must not be relied upon for settlement, accounting valuation or tax reporting.

6. No professional advice

No part of the service, including its reports, tax summaries and document templates, constitutes legal, tax or accounting advice. You should obtain independent professional advice before relying on any output of the service.

7. Acceptable use

You must not use the service to:

  • Issue invoices in connection with unlawful activity, or to defraud or mislead any person.
  • Impersonate any person or business, or misrepresent your affiliation.
  • Attack, disrupt, overload or gain unauthorised access to the service, or circumvent rate limits, authentication or other access controls.
  • Upload malicious code, or material that you do not have the right to use.

8. Suspension and termination

You may delete your account at any time. We may suspend or terminate an account that breaches these terms or presents a risk to the service or to other users. Where circumstances reasonably permit, notice will be given and an opportunity provided to export your data before termination takes effect.

9. Disclaimer of warranties

The service is provided on an "as is" and "as available" basis, without warranty of any kind, whether express, implied or statutory, including any implied warranty of merchantability, fitness for a particular purpose or non-infringement. We do not warrant that the service will be uninterrupted, secure or error-free, or that data will be preserved without loss. You should maintain independent copies of records you cannot afford to lose.

10. Limitation of liability

To the maximum extent permitted by applicable law, our aggregate liability arising out of or in connection with the service is limited to zero, reflecting that the service is supplied without charge. We shall not be liable for loss of profit, loss of revenue, loss of data, unpaid or delayed invoices, tax penalties, or any indirect or consequential loss, however arising.

Nothing in these terms excludes or limits liability which may not lawfully be excluded or limited, including liability for death or personal injury caused by negligence, or for fraud or fraudulent misrepresentation.

11. Indemnity

You agree to indemnify cy‑paid against any claim, demand, loss or expense arising from your use of the service in breach of these terms, or from any invoice or other document you issue through it.

12. Governing law and jurisdiction

These terms are governed by the laws of the Federal Republic of Nigeria, and the courts of Nigeria shall have jurisdiction in respect of any dispute arising from them. Where you use the service as a consumer, this clause does not deprive you of the protection of mandatory provisions of the law of your place of residence.

13. Amendments

These terms may be amended from time to time. The date of the current version appears at the head of this page, and notice of material changes will be given by email. Continued use of the service following the effective date of an amendment constitutes acceptance of the amended terms. Enquiries may be sent to hello@cy-paid.cytro.com.ng.
